AI Tools — Terms of Service & Acceptable Use Policy

📄 1. Your License to Use Parsafy AI Tools

Subject to these Terms and the Parsafy Terms of Service, Parsafy AI Inc. grants you a limited, non-exclusive, non-transferable, revocable license to access and use Parsafy AI Tools solely for the purposes permitted under your account tier and these Terms.

This license does not permit you to:

• Sublicense, resell, or redistribute access to Parsafy AI Tools to third parties without written authorization from Parsafy.
• Use Parsafy AI Tools to build, train, or improve a competing AI model or service.
• Copy, adapt, reverse engineer, decompile, or extract the underlying models, software, algorithms, or source code of Parsafy AI Tools.
• Use automated systems, bots, scrapers, or other tools to access Parsafy AI Tools in bulk or at scale without Parsafy's written consent.
• Remove, obscure, or alter any proprietary notices, labels, or branding associated with Parsafy AI Tools.

Parsafy reserves the right to modify, suspend, or discontinue any Parsafy AI Tool or feature at any time, with or without notice, and without liability to you.

©️ 2. Content & Intellectual Property Ownership

Parsafy's Intellectual Property

All content, software, models, interfaces, designs, branding, and technology comprising or powering Parsafy AI Tools — including ViraFrame, Guilda, Tellefy, and Collaboration — are owned by Parsafy AI Inc., its affiliates, licensors, or third-party AI providers, and are protected by copyright, trademark, trade secret, and other intellectual property laws in the United States and internationally. Nothing in these Terms transfers ownership of any Parsafy intellectual property to you.

Your Input Content

You retain ownership of all content, data, text, images, audio, and other materials you submit to Parsafy AI Tools as inputs ("Input Content"). By submitting Input Content, you grant Parsafy a worldwide, royalty-free, non-exclusive license to process your Input Content solely as necessary to operate and provide the AI Tools to you — and, where you have not opted out, to improve Parsafy's AI systems as described in Section 5.

You represent and warrant that your Input Content does not infringe any third-party intellectual property rights, does not violate any applicable law, and does not contain any material that violates these Terms or the Parsafy Terms of Service.

AI-Generated Output Content

Content generated by Parsafy AI Tools in response to your inputs ("Output Content") is provided to you subject to the following:

• To the extent permitted by applicable law, Parsafy assigns to you any rights Parsafy may hold in Output Content generated specifically in response to your inputs, subject to your compliance with these Terms.
• You are solely responsible for evaluating, verifying, and determining the appropriate use of Output Content before publishing, distributing, or relying on it.
• Output Content may not be unique — other users may receive similar or identical outputs from similar inputs. Parsafy makes no exclusivity guarantee with respect to Output Content.
• Output Content generated using Parsafy's in-app licensed assets (including licensed music, stock imagery, or branded templates) may be subject to additional restrictions — see the Music on Parsafy AI guidelines and any applicable asset-specific terms.

🤖 3. AI Outputs — Accuracy, Reliability & Limitations

Parsafy AI Tools are powered by large language models, generative AI systems, and other machine learning technologies. You acknowledge and agree that:

• AI outputs may be inaccurate. Output Content generated by Parsafy AI Tools may contain errors, omissions, hallucinations, outdated information, or content that is factually incorrect. Parsafy does not warrant the accuracy, completeness, reliability, or fitness for purpose of any Output Content.
• AI outputs are not professional advice. Output Content does not constitute legal, medical, financial, psychological, or other professional advice. Do not rely on AI-generated outputs as a substitute for qualified professional judgment.
• AI outputs may reflect bias. AI systems can reflect biases present in their training data. Output Content may inadvertently contain biased, stereotyped, or otherwise problematic content. You are responsible for reviewing Output Content before use.
• AI outputs are not human-generated. Where disclosure is required by law or platform policy, you must identify AI-generated content as such. See the Disclosure & Transparency section of the Acceptable Use Policy below.
• AI outputs may vary. The same or similar input may produce different outputs at different times. Parsafy does not guarantee consistent results from Parsafy AI Tools.

Parsafy is not liable for any decisions made, actions taken, or harm suffered based on reliance on Output Content. You use Parsafy AI Tools and their outputs entirely at your own risk.

🔗 4. Third-Party AI Providers

Parsafy AI Tools are powered in part by AI models, APIs, and services provided by third-party technology partners. By using Parsafy AI Tools, your use is also subject to the applicable terms of service and acceptable use policies of these third-party providers, which are incorporated into these Terms by reference.

The acceptable use policies of these providers prohibit certain uses of their technology — including generating CSAM, weapons instructions, and other harmful content. These prohibitions apply to your use of Parsafy AI Tools and are incorporated into the Acceptable Use Policy section of these Terms. Parsafy is not responsible for changes to third-party provider terms, but such changes may affect the availability or functionality of Parsafy AI Tools.

📊 5. Data & AI Improvement

How Parsafy Uses Your Data

When you use Parsafy AI Tools, Parsafy and its third-party AI providers may process your Input Content, usage patterns, and interactions to:

• Provide, operate, and improve Parsafy AI Tools.
• Monitor for policy violations, safety issues, and abuse.
• Generate aggregated, anonymized insights about how Parsafy AI Tools are used.
• Where you have not opted out: improve Parsafy's AI models and features through training and fine-tuning on your anonymized inputs and outputs.

Your Opt-Out Rights

You may opt out of having your Input Content and Output Content used for AI model training and improvement by:

• Adjusting your AI data preferences in Account Settings → Privacy & AI.
• Submitting a request through our Privacy Request portal.

Opting out does not affect Parsafy's right to process your data as necessary to provide you with the AI Tools themselves, or to monitor for safety and policy compliance. Opting out may affect the personalization and performance of certain AI features.

Third-Party Provider Data Practices

Third-party AI providers who power Parsafy AI Tools have their own data retention and training practices. Please refer to each provider's privacy policy (linked in Section 4) for details on how they handle data submitted through their APIs. Parsafy takes reasonable steps to limit the data shared with third-party providers to what is necessary to deliver the requested AI functionality.

🌍 6. Export Controls & Sanctions Compliance

Parsafy AI Tools are subject to U.S. export control laws and regulations, including the Export Administration Regulations (EAR) and the sanctions programs administered by the U.S. Department of Treasury's Office of Foreign Assets Control (OFAC). By using Parsafy AI Tools, you represent and warrant that:

• You are not located in, and are not a national or resident of, any country subject to a comprehensive U.S. embargo or sanctions program, including Cuba, Iran, North Korea, Russia, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine.
• You are not identified on, and are not acting on behalf of any person or entity identified on, OFAC's Specially Designated Nationals (SDN) list, the Bureau of Industry and Security's Denied Persons List, or any other applicable restricted party list.
• You will not use Parsafy AI Tools in connection with any activities that would violate U.S. export control laws or regulations, including activities related to the development of weapons of mass destruction, missile technology, or other prohibited end uses.

Parsafy reserves the right to restrict access to Parsafy AI Tools from any jurisdiction or to any user where required by applicable law or our third-party provider terms.

📨 7. DMCA & Copyright Infringement

Parsafy AI Inc. respects intellectual property rights and complies with the Digital Millennium Copyright Act (17 U.S.C. § 512). If you believe that content generated or displayed through Parsafy AI Tools infringes a copyright you own or control, submit a DMCA notice to our Copyright Agent:

Parsafy will terminate or disable access to Parsafy AI Tools for users who are found to be repeat copyright infringers.

🔗 8. Third-Party Links & Services

Parsafy AI Tools may provide access to, or generate content that references, third-party websites, services, or resources. Parsafy does not control, endorse, or assume responsibility for third-party content, websites, or services. These Terms apply exclusively to Parsafy AI Tools and do not extend to any third-party destinations you may access.

You may not frame, inline-link, scrape, or incorporate any content from Parsafy AI Tools into a third-party website or service without Parsafy's prior written consent.

⚠️ 9. Disclaimer of Warranties

Parsafy does not warrant that: (a) Parsafy AI Tools will meet your requirements; (b) access to Parsafy AI Tools will be uninterrupted, timely, secure, or error-free; (c) Output Content will be accurate, reliable, complete, or appropriate for your intended use; or (d) any defects or errors in Parsafy AI Tools will be corrected.

Parsafy reserves the right to modify, suspend, or discontinue any Parsafy AI Tool or feature — temporarily or permanently — with or without notice. You agree that Parsafy shall not be liable for any modification, suspension, or discontinuance of any AI Tool or feature.

You understand that Parsafy is not responsible for the legal consequences of your use of Parsafy AI Tools. You are solely responsible for ensuring that your use complies with all applicable laws and regulations in your jurisdiction.

🛡️ 10. Limitation of Liability

In no event shall Parsafy's total aggregate liability to you for all claims arising out of or in connection with these Terms or your use of Parsafy AI Tools exceed the greater of: (a) the amount you paid to Parsafy for access to Parsafy AI Tools in the twelve months preceding the claim, or (b) $100 USD.

These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if any limited remedy set forth in these Terms is found to have failed of its essential purpose. Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability — in such jurisdictions, Parsafy's liability is limited to the greatest extent permitted by applicable law.

⚖️ 11. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Parsafy AI Inc., its affiliates, officers, directors, employees, licensors, third-party AI providers, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of or access to Parsafy AI Tools.
• Your Input Content, including any claim that your Input Content infringes the intellectual property, privacy, or other rights of a third party.
• Your Output Content and any use you make of it.
• Your violation of these Terms or the Parsafy Terms of Service.
• Your violation of any applicable law or the rights of any third party.
• Your negligence or willful misconduct.

Parsafy reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense, and you agree to cooperate with Parsafy's defense. You may not settle any claim without Parsafy's prior written consent.

📝 12. Changes to These Terms

Parsafy reserves the right to modify these Terms at any time. We will notify you of material changes by posting the revised Terms on this page with an updated effective date, and — for significant changes — by providing notice through the Parsafy platform or via email.

Changes will not be retroactive. Unless otherwise required for legal or safety reasons, changes will take effect no earlier than fourteen (14) calendar days after posting. Your continued use of Parsafy AI Tools after changes take effect constitutes your acceptance of the revised Terms.

AI technology evolves rapidly. We may need to update these Terms more frequently than other Parsafy policies to reflect changes in our AI Tools, the capabilities of third-party providers, or applicable law. We encourage you to review these Terms periodically.

📋 13. General Provisions

Assignment

You may not assign, delegate, or transfer these Terms or any rights or obligations under them without Parsafy's prior written consent. Any attempted assignment without consent is null and void and automatically terminates your right to use Parsafy AI Tools. Parsafy may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.

Waiver & Severability

Parsafy's failure to enforce any provision of these Terms does not constitute a waiver of its right to do so in the future. If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions continue in full force and effect.

Entire Agreement

These Terms, together with the Parsafy Terms of Service, Privacy Policy, and Community Guidelines, constitute the entire agreement between you and Parsafy with respect to your use of Parsafy AI Tools and supersede all prior agreements and understandings relating to the same subject matter.

Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Disputes are subject to the Arbitration Agreement in Section 19 of the Parsafy Terms of Service.

⚙️ AUP Enforcement

Parsafy monitors use of its AI Tools for AUP violations using automated systems, human review, and reports from users and third parties. Parsafy reserves the right — but is not obligated — to review, flag, restrict, or remove any content generated through Parsafy AI Tools that Parsafy reasonably believes violates this AUP.

Violations of this AUP may result in:

• Immediate suspension or permanent termination of access to Parsafy AI Tools and/or the Parsafy platform.
• Removal of Output Content that violates this AUP.
• Reporting to law enforcement, regulatory authorities, or third-party AI providers where required by law or where Parsafy reasonably believes criminal activity has occurred.
• Civil legal action by Parsafy or affected third parties.

Parsafy cooperates fully with law enforcement investigations involving illegal use of Parsafy AI Tools. Certain violations — particularly those involving child exploitation, terrorism, or weapons of mass destruction — will be reported to the appropriate authorities without notice to the user.
