Welcome to Parsafy AI ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Parsafy AI platform, including our AI-powered creator tools, social features, and all related services and content (collectively, the "Services" or "Platform").

By accessing or using the Platform, you agree to be bound by these Terms. Please read them carefully.

1 Who Can Use the Services

Eligibility

Parsafy's Services are intended exclusively for users who are 18 years of age or older. To create an account and use our Services, you must affirm that you are at least 18 years old. In jurisdictions where the age of majority is higher than 18, you must meet that higher age requirement.

If we discover that a user is under 18 (or under the applicable minimum legal age in their jurisdiction), we will cease providing Services to that user, terminate their account, and delete any associated data.

By using our Services, you acknowledge, warrant, and agree that:

• You are capable of entering into a binding contract with Parsafy AI Inc.
• You are not restricted from using the Services under the laws of the United States or any other applicable jurisdiction — for example, you do not appear on the U.S. Treasury Department's list of Specially Designated Nationals or face any similar prohibition.
• You are not a registered sex offender.
• You will comply with these Terms (including our Community Guidelines, Music on Parsafy AI Guidelines, and the Commercial Content Policy) and all applicable local, state, national, and international laws, rules, and regulations.

Account Registration

To access certain features of the Platform, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. One-time identity verification is required to confirm you meet the age requirement.

Business Use

If you are accessing our Services on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms, and you consent to these Terms on behalf of both yourself as an individual and the entity. All references to "you" and "your" in these Terms will apply to both you as an individual and the entity you represent.

User Conduct

You agree to use the Platform in compliance with these Terms and all applicable laws and regulations. You must not engage in any activity that may harm, disrupt, or impair the functioning of the Platform or interfere with other users' enjoyment of the Platform.

2 Rights You Grant Parsafy

Parsafy's various Services empower you to create, upload, post, transmit, and store content. By doing so, you retain the ownership rights in your content. However, you grant us a license to use that content, the scope of which depends on the particular Services you use and the settings you have configured.

For all content submitted to the Services, you hereby grant Parsafy AI Inc. and our affiliates a worldwide, royalty-free, sublicensable, and transferable license. This license encompasses hosting, storage, caching, use, display, reproduction, modification, adaptation, editing, publication, analysis, transmission, and distribution of the content, for the purpose of operating, developing, providing, promoting, improving, and conducting research for the Services. This also includes the right to make your content accessible to and share these rights with service providers with whom we have contractual relationships, solely for the purpose of delivering such Services.

Content you submit to public areas of the Services — including public profiles, community feeds, creator showcases, Parsafy TV, and similar public features — is referred to as "Public Content." By submitting Public Content, you grant Parsafy, our affiliates, other users, and our business partners an unrestricted, worldwide, royalty-free, irrevocable, and perpetual right and license to create derivative works of, promote, exhibit, broadcast, syndicate, reproduce, distribute, publicly perform, and publicly display all or any part of your Public Content. Accordingly, you are not entitled to separate compensation if your Public Content — including any name, image, likeness, or voice of individuals featured in it — is used by us, our affiliates, users, or business partners. All Public Content must comply with applicable law and our Community Guidelines.

While not obligated to do so, we may access, review, screen, and remove your content at our discretion and for any reason, including where we believe your content violates these Terms or applicable laws. You remain solely responsible for the content you create, upload, post, transmit, or store through the Services.

Parsafy, our affiliates, and our third-party partners may display advertisements on the Services, including personalized advertising based on information you provide or that we collect about you. These advertisements may appear near, between, over, or alongside your content.

We greatly value feedback from our users. If you provide feedback or suggestions, we may use them without compensation or obligation to you. By submitting feedback, you agree that we will own all rights in anything developed based on such feedback.

3 User Interactions & Communication

User-Generated Content

The Parsafy platform allows users to create, upload, and share content, including but not limited to text, images, videos, audio, and other materials ("User-Generated Content"). By submitting User-Generated Content, you grant Parsafy a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, and distribute your content for the purpose of operating and promoting the Platform.

Free Expression & Community Standards

Parsafy is built on a commitment to free expression and open dialogue. We believe users have the right to speak freely, including on topics that may be controversial or political in nature. At the same time, free expression does not mean anything goes. You agree to engage with others in a manner that is lawful, honest, and respectful of others' rights. Please refer to our Community Guidelines for a full description of what is and is not permitted on the Platform.

Responsible User Conduct

You agree to use the Parsafy platform responsibly and in compliance with these Terms, our Community Guidelines, and all applicable laws and regulations. You are solely responsible for your User-Generated Content and all interactions or communications you have with other users.

User Interactions

The platform provides features that allow users to interact with each other, such as comments, likes, direct messages, and other communication channels. You acknowledge that any interactions or communications you have with other users are solely between you and the other user. Parsafy is not responsible for the content or consequences of those interactions.

Prohibited Conduct

You must not engage in any conduct that is unlawful, defamatory, infringing, harassing, abusive, fraudulent, or otherwise objectionable on the Parsafy platform. This includes but is not limited to:

• Posting or sharing content that violates the rights of others, including intellectual property rights or privacy rights.
• Engaging in bullying, harassment, or coordinated hate campaigns targeting individuals or groups.
• Impersonating another individual, organization, or entity.
• Uploading or distributing malicious software, viruses, or other harmful code.
• Engaging in any activity that disrupts or interferes with the functioning of the Platform or the experience of other users.

Reporting & Moderation

Parsafy reserves the right to monitor, review, and moderate User-Generated Content and user interactions on the platform. We may remove or disable access to any content that violates these Terms, without prior notice. If you encounter content you believe violates these Terms, please report it using the designated reporting mechanisms on the Platform.

Disclaimer of Responsibility

Parsafy is not responsible for the content, accuracy, or conduct of users on the Platform. We do not endorse or guarantee the reliability, accuracy, or quality of any User-Generated Content. Any reliance on User-Generated Content or interactions with other users is at your own risk.

4 Respecting Parsafy's Services & Rights

Parsafy retains ownership of the Services, encompassing associated brands, creative works, software, and other proprietary content, features, and technology.

You must uphold Parsafy's rights and abide by the Parsafy Brand Guidelines, as well as any additional guidelines, support documents, or FAQs issued by Parsafy or our affiliates. Violation of the following may result in suspension or termination of your access to the Services:

• Using Parsafy's branding, logos, icons, user interface elements, designs, photographs, videos, or other materials without explicit authorization.
• Infringing upon Parsafy's, our affiliates', or any third party's copyrights, trademarks, or other intellectual property rights.
• Duplicating, modifying, archiving, downloading, distributing, selling, syndicating, broadcasting, displaying, creating derivatives of, or otherwise exploiting the Services or content within the Services, except as explicitly permitted by these Terms or by us in writing.
• Creating additional accounts after your account has been disabled by us, or accessing the Services through unauthorized third-party applications.
• Attempting to reverse engineer, decompile, disassemble, or extract the source code of the Services.
• Using any automated means — such as robots, spiders, crawlers, or scrapers — to access the Services or extract information about other users.
• Developing or using third-party applications that interact with the Services or other users' data without our written consent.
• Using the Services in a manner that could harm, disable, overload, or impair its functioning or negatively affect other users.
• Uploading viruses or malicious code, or attempting to circumvent the security of the Services.
• Attempting to bypass content-filtering techniques or access areas of the Services for which you are not authorized.
• Probing, scanning, or testing the vulnerability of our Services or any associated system or network.
• Violating any applicable laws or regulations in connection with your use of or access to the Services.

5 Respecting the Rights of Others

Parsafy is committed to respecting the rights of all individuals and expects the same from our users. You must not use the Services in a manner that infringes or violates the rights of others, including rights of publicity, privacy, copyright, trademark, or any other intellectual property right.

When you submit content to the Services, you represent that you own the content or have obtained all necessary permissions, clearances, and authorizations required to submit it. This includes, where applicable, securing any rights necessary for musical works embedded in sound recordings, synchronization rights, public performance rights, or any other rights relating to music not provided by Parsafy but incorporated into your content.

You also agree not to use or attempt to use another user's account without express permission from Parsafy.

Copyright & DMCA

Parsafy is committed to complying with copyright laws, including the Digital Millennium Copyright Act (DMCA). We take prompt measures to remove infringing material from our Services once we become aware of it. Users who repeatedly infringe copyrights may have their accounts suspended or terminated.

If you believe any content on our Services infringes a copyright you own or control, you may file a notice with our designated Copyright Agent at:

To be valid under 17 U.S.C. § 512(c)(3), your notice must include:

• The physical or electronic signature of a person authorized to act on behalf of the copyright owner.

• Identification of the material claimed to be infringing, with sufficient information to locate it.

6 Privacy & Security

Privacy Policy

Our Privacy Policy outlines how we collect, use, disclose, and protect your personal information. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy.

Security Measures

We implement reasonable and appropriate security measures to protect the integrity and confidentiality of user data. However, no data transmission or storage system can be guaranteed to be completely secure. You acknowledge and accept the inherent security risks associated with using any online platform.

7 Personalized Recommendations

At Parsafy, we strive to enhance your experience by offering personalized recommendations through our Services. Our recommendations may include content, creator suggestions, features, and other information tailored to your interests and behavior on the Platform, as inferred from your use of our Services.

To provide personalized recommendations, it is necessary to process certain personal data, as described in our Privacy Policy. You may choose to adjust personalization settings within the Services where available.

Parsafy operates a transparent algorithm. We are committed to giving users meaningful insight into how content is ranked and surfaced on the Platform. Details on how our recommendation systems work are available in our Help Center.

8 Intellectual Property

Ownership

The Platform and its contents — including but not limited to graphics, logos, trademarks, and software — are owned by or licensed to Parsafy AI Inc. and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform solely for your personal or permitted commercial use in accordance with these Terms.

Your Content

You retain ownership of any content you create or upload to the Platform. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, and distribute your content for the purposes of operating and promoting the Platform, as further described in Section 2.

Prohibited Use

You must not use, reproduce, modify, adapt, distribute, or exploit any Parsafy content or intellectual property without our prior written consent. Unauthorized use of the Platform's intellectual property may result in legal action.

9 Modifying These Terms

Parsafy is continuously working to improve and innovate our Services. We may introduce new features, products, or functionalities, and we may remove or suspend existing Services at any time. We are not obligated to provide prior notice for such changes.

These improvements and changes may require updates to these Terms to reflect alterations in our Services, legal requirements, or other legal or security considerations. When we make significant changes to these Terms, we will make reasonable efforts to provide you with advance notice, except where changes are required more urgently due to legal developments or the launch of new Services or features.

Your continued use of our Services after changes take effect constitutes your acceptance of the updated Terms.

After agreeing to these Terms, any written notice, request, or communication from Parsafy to you may be provided via email, mail, or in-platform notifications. It is your responsibility to keep your contact information up to date, including your name and email address.

11 Service Provided "As Is"

We strive to maintain the Services in good working order and without disruptions, but we cannot guarantee uninterrupted or error-free operation.

The Services are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, to the extent permitted by law. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee or warrant that:

• The Services will always be secure, error-free, or available on time.
• The Services will operate without interruptions, delays, or imperfections.
• Any content, user content, or information you obtain through the Services will be timely or accurate.

Neither Parsafy nor our affiliates accept responsibility or assume liability for any content created, uploaded, posted, sent, received, or stored by you, another user, or a third party on or through our Services. You acknowledge and agree that you may encounter content that could be offensive, unlawful, deceptive, or otherwise inappropriate, and neither we nor our affiliates will be liable for such content.

12 Indemnity

To the extent permitted by law, you agree to indemnify, defend, and hold harmless Parsafy AI Inc., our affiliates, directors, officers, shareholders, employees, licensors, and agents from any and all complaints, charges, claims, damages, losses, costs, liabilities, and expenses (including attorneys' fees) arising out of or relating to:

• Your access to or use of our Services, or any products or services provided by a third party in connection with our Services, even if recommended, made available, or approved by Parsafy.
• Your content, including any claims of infringement related to your content.
• Your violation of these Terms or any applicable law or regulation.
• Your negligence or willful misconduct.

In plain terms: if your actions cause us harm or result in legal claims, you are responsible for compensating us for any damages incurred.

13 Limitation of Liability

Exclusion of Damages

To the maximum extent permitted by applicable law, Parsafy AI Inc. and its affiliates, directors, officers, employees, and agents shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or in connection with your use of the Platform.

Cap on Liability

In no event shall our total liability to you for all claims arising out of or in connection with these Terms or your use of the Platform exceed the greater of (a) the amount you paid, if any, to us for accessing and using the Platform in the twelve months preceding the claim, or (b) $100 USD.

We do not have control over what other people do or say, and we are not responsible for their behavior, actions (whether online or offline), or content (including unlawful or offensive material). We are not responsible for services and features offered by other people or companies, even if you access them through our Platform.

14 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.

15 Third-Party Materials & Services

Parsafy's Services may incorporate, present, or provide access to content, data, information, applications, features, or materials originating from third parties ("Third-Party Materials"). Our Services may also include links to third-party websites or enable the use of third-party services.

When you engage with Third-Party Materials or third-party services through our Services, your relationship with those third parties is governed by their respective terms and conditions. Parsafy and our affiliates assume no responsibility or liability for those third-party terms or for actions taken in accordance with them.

Parsafy is not obligated to review, verify, or assess the accuracy, completeness, availability, legality, quality, or any other aspect of Third-Party Materials, third-party services, or external websites. We do not warrant or endorse third-party services or materials and disclaim any responsibility or liability for them.

The availability of Third-Party Materials, third-party services, and links to external websites is provided solely for your convenience.

16 Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without giving effect to any choice-of-law or conflict-of-law principles.

Any disputes arising out of or in connection with these Terms that are not subject to the Arbitration Agreement in Section 19 shall be subject to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California. You and Parsafy consent to personal jurisdiction in those courts.

Please see Section 19 for the full Arbitration Agreement, Class-Action Waiver, and Jury Trial Waiver that govern most disputes between you and Parsafy.

17 International Data Transfers

EEA Users

If you are located in the European Economic Area (EEA), your personal data may be transferred to and processed in countries outside the EEA, including the United States, which may have different data protection standards than those in your jurisdiction. Where required by applicable law, we will ensure appropriate safeguards are in place, such as adequacy decisions or standard contractual clauses approved by the European Commission.

If you are located in the United Kingdom, your personal data may be transferred to and processed outside the UK, including in the United States. 18 Compliance, Suspension & Termination

Content Review

Parsafy reserves the right to review and assess any content or applications submitted by users for compliance with these Terms and applicable guidelines. We may reject, modify, or remove any content that we determine, in our sole discretion, to be in violation of these Terms or otherwise objectionable or unlawful.

Monitoring & Auditing

We may engage in monitoring activities to ensure compliance with these Terms, protect the integrity and security of the Parsafy Platform, and enforce our rights. By using the Parsafy Platform, you agree to cooperate with any compliance reviews or audits conducted by Parsafy or its authorized representatives.

Suspension & Termination

Parsafy reserves the right to suspend or terminate your access to the Platform at any time and for any reason, including but not limited to:

• Non-compliance with these Terms or any applicable laws, regulations, or policies.
• Violation of the rights of other users or third parties.
• Engaging in fraudulent, abusive, or illegal activities on the Platform.
• Security concerns or threats to the integrity of the Platform.
• Any other actions or behaviors deemed harmful to Parsafy or its users.

Upon suspension or termination, you will no longer have access to the Platform, and any licenses or permissions granted under these Terms will cease immediately. Parsafy shall not be liable for any damages or losses resulting from the suspension or termination of your access.

20 Content Moderation

A significant portion of the content on our Services originates from users, creators, and third parties. Whether content is posted publicly or sent privately, responsibility for its nature and appropriateness falls solely on the user or entity that submitted it.

While Parsafy maintains the right to examine, moderate, or remove content displayed on the Services, we do not review all content. We do not guarantee that other users or the content they contribute will adhere to our Terms, Community Guidelines, or other applicable policies.

Users may report content or accounts they believe violate our Terms or Community Guidelines using the reporting mechanisms available on the Platform.

If you have concerns about a content moderation decision, you may submit a formal complaint within 90 days of the relevant decision. Upon receiving a complaint, we commit to:

• Reviewing the complaint in a timely, unbiased, diligent, and non-arbitrary manner.
• Correcting our decision if we determine that our initial assessment was incorrect.
• Communicating our decision to you promptly, along with any available avenues for recourse.

21 Prioritizing Safety

At Parsafy, your safety is of paramount importance. We are committed to maintaining a secure and welcoming environment for all users, and we invest significant resources toward that goal. However, the safety and quality of our platform depend on the active cooperation of our community.

By using our Services, you commit to adhering to these Terms, our Community Guidelines, and any additional safety policies Parsafy may introduce.

In the event of non-compliance, Parsafy retains the right to take appropriate action, including but not limited to:

• Content removal: We may remove content that violates our Terms and policies.
• Account termination or visibility limitation: We may terminate or restrict your account as deemed necessary.
• Data retention: We will adhere to our data retention policies regarding information related to your account.
• Notification to third parties: We may notify third parties, including law enforcement, and provide them with relevant information pertaining to your account where required by law or to protect the safety of our users.

We also extend our concern to your physical safety while using our Services. Please do not use Parsafy in any manner that distracts you from traffic or safety obligations — for example, never use the Platform while driving.

22 Data Charges & Mobile Phones

When using Parsafy's Services on a mobile device, you are responsible for any associated mobile carrier charges, including data fees and charges for messaging services such as SMS, MMS, or other messaging technologies (collectively, "Messages"). We recommend checking with your carrier about applicable costs before using our Services.

By providing us with your mobile phone number, you consent to receiving Messages from Parsafy related to the Services, including account notifications, security alerts, and — where you have given consent or where permitted by applicable law — promotional messages. You acknowledge that you may receive these Messages even if your number is registered on a Do Not Call list or its international equivalent.

If you change or deactivate the mobile phone number associated with your Parsafy account, you must update your account information within 48 hours to prevent messages intended for you from being delivered to another recipient.

23 Additional Rights We Retain

• If you choose a username or other identifier for your account, we may require you to change it if we determine it infringes on another's intellectual property or impersonates another user.
• You must obtain our written permission or an appropriate open-source license before modifying, creating derivative works from, decompiling, or otherwise attempting to extract source code from the Services.
• You may not use our intellectual property, logos, or trademarks without our prior written consent or as explicitly outlined in our Parsafy Brand Guidelines.
• If you make use of any intellectual property we provide through our Services — such as images, designs, videos, or audio clips — we reserve all rights to that content. Your rights to your own content remain unaffected.
• We reserve the right to issue press releases or public announcements regarding our relationships with creators, business partners, or platform milestones.

24 Software Updates

If you download or use Parsafy software or mobile applications, you grant us permission to download and install updates to the software where available. These updates may include security patches, bug fixes, new features, or other improvements. Keeping the software up to date helps protect the security and integrity of your account.

25 Pages, Groups & Events

The following policies govern the use of Pages, Groups, and Events on the Parsafy platform. By creating or participating in Pages, Groups, or Events, you agree to adhere to these policies.

Authentic Representation

• Accurate Information: Provide accurate and up-to-date information about your Page, Group, or Event. Misleading or deceptive representation is prohibited.
• Official Authorization: If you create a Page, Group, or Event on behalf of an organization or entity, you must have the necessary authority to represent that organization.
• No Impersonation: Do not impersonate individuals, organizations, or entities through your Page, Group, or Event.

Content Guidelines

• Prohibited Content: Do not post or share content that violates our Terms or Community Guidelines, including illegal content, coordinated harassment, or graphic violence.
• Intellectual Property: Respect intellectual property rights. Do not post content that infringes upon the copyrights, trademarks, or confidential information of others.

Privacy & Data Protection

• User Privacy: Respect the privacy of users. Do not collect or use personal information without consent and in compliance with applicable privacy laws.
• Data Protection: Safeguard user data and provide clear information on any data collection and usage practices within your Page, Group, or Event.

User Safety & Engagement

• No Harassment: Do not engage in bullying, harassment, or abusive behavior. Foster a safe and respectful environment for all participants.
• Moderation: Monitor and moderate user-generated content within your Page, Group, or Event. Take appropriate action to address violations and user reports promptly.

Legal Compliance

• Comply with all applicable laws and regulations, including those related to intellectual property, privacy, data protection, and anti-discrimination.
• Promptly report illegal or harmful activities to appropriate authorities and cooperate with law enforcement requests as required by law.

Policy Violations

• Violations of these policies may result in content removal, temporary suspension, or permanent termination of your Page, Group, or Event.
• Report violations using the designated reporting mechanisms on the Parsafy platform.

26 General

• You must not assign, transfer, or otherwise change control of any of your rights or obligations under these Terms to any third party without our prior written consent. Any unauthorized transfer will be null and void.
• You must comply with all applicable laws and regulations, including the Children's Online Privacy Protection Act ("COPPA") and the Video Privacy Protection Act ("VPPA"), as applicable.
• We reserve the right to modify these Terms at any time. Your continued use of the Platform constitutes acceptance of any amended Terms.
• If there is any conflict between these Terms and any other applicable online terms, the terms that are more restrictive on you or more protective of Parsafy shall apply.
• We reserve the right to alter, suspend, or terminate access to any aspect of the Platform at any time, with or without prior notice.
• We do not guarantee that the Platform will always be free of charge.
• Any assistance, enhancements, or modifications we provide to the Platform may be modified or discontinued at any time without prior notice.
